1. General Information

CoopCROWD ("CoopC"), CoopUNO, and CoopMEGA (collectively, the "Services") are operated as cooperative gifting systems through online platforms that include websites, mobile applications, and related technologies (collectively, the "Platform"). By accessing or using any part of the Services, you agree to comply with and be bound by these Terms and Conditions ("Terms"). CoopC™ reserves the right to update these Terms at any time, with updates effective upon posting. Notice of material changes may be provided via email.

The Services are governed by the laws of Barbados. Official inquiries can be directed to: lh@coopnow.email.

If you do not agree with these Terms, discontinue use of the Services immediately. You are responsible for keeping your contact information current in your account profile.

2. Description of Services

The Platform enables Global Business Owners ("GBOs") to participate in cooperative gifting campaigns by voluntarily giving monetary gifts ("Gifts") to others within a structured peer-to-peer network. CoopC, CoopUNO, and CoopMEGA each operate distinct gifting systems designed to support a Cooperative Universal Income Replacement (CUIR)—a sustainable, predictable flow of income created through shared participation.

Participants begin by giving a Gift as an act of goodwill without any expectation of return. Through structured cooperative models (such as CoopC’s C12, C28, and C280 tiers), participants become eligible to receive Gifts from other members within the cooperative network. Gifts are final and non-refundable.

These platforms do not function as investments, charitable organizations, or income guarantees. They are private, member-based systems focused on collaboration, contribution, and mutual benefit.

2.1 Overview of the Cooperative Gifting Systems

CoopCROWD, CoopUNO, and CoopMEGA each operate as connected gifting cooperatives within the Coop EcoSystem. While they share the same principles and platform governance, each cooperative is uniquely structured:

  • CoopCROWD:CoopCROWD: Operates on a 3 x 10 matrix model. Designed for broad reach and consistent daily gifting potential, ideal for scalable community building and entry-level participation.
  • CoopUNO:CoopUNO: Built on a 3 x 6 matrix. Designed for stability and simplicity, CoopUNO provides a streamlined path to receive and give gifts in a cooperative loop.
  • CoopMEGA:CoopMEGA: Also structured as a 3 x 6 matrix but optimized for expanded gifting potential and increased cooperative rewards through re-entry cycles and multiple matrices.

Members may join one or all of the cooperatives and are free to upgrade or expand participation across any or all levels. Movement between cooperatives does not alter the voluntary nature of each gift nor the fundamental terms that apply platform-wide.

3. Nature of the Platform

CoopC™, CoopUNO™, and CoopMEGA™ are not investment programs, charities, or business opportunities. Participation does not create a legal partnership, joint venture, or employment relationship between members or with the platform. No securities are offered, and no income is promised.

4. Definition of Gift

A Gift is a voluntary transfer of value from one member to another, made without coercion and without any expectation of financial return, equity, or compensation. All Gifts are final, non-refundable, and not subject to recovery once completed.

5. Voluntary Participation

Participation in the Services is entirely voluntary. No one is obligated to participate. You are solely responsible for your decision to engage, gift, or share. No claims of guaranteed income or entitlement are permitted.

6. Registration Obligations

To access the Services, you must:

  1. Register and provide accurate, current, and complete information.
  2. Comply with the age and legal requirements of your jurisdiction.
  3. Keep your account credentials secure.
  4. Not impersonate others or provide false information.

Failure to meet these obligations may result in suspension or termination.

7. Fees and Payments

The platform retains a small admin fee to cover operational costs. Third-party payment processor fees may also apply. Recurring Gifts require your authorization for scheduled transactions. Chargebacks on valid Gifts are considered fraudulent and may result in account termination.

8. Termination of Membership

Membership may be terminated for:

  • Misrepresentation of the platform or its purpose
  • Unauthorized use of Coop intellectual property
  • Harassment, defamation, or manipulation
  • Inactivity or unresponsiveness for extended periods

Upon termination, all access, benefits, and Coop tokens are forfeited. Terminated members may appeal within 14 days by contacting lh@coopnow.email.

9. Marketing Disclaimer

Members may not promise earnings, offer investment claims, or misrepresent the purpose of gifting. Violations will result in immediate termination. All promotional materials must align with CoopC’s official messaging.

10. No Guarantee of Outcome

Coop systems are designed to maximize cooperative benefit. However, success is dependent on participation and team activity. No outcomes, benefits, or earnings are guaranteed.

11. Disclaimers and Risks

Participation in cooperative gifting includes inherent risks. CoopC disclaims all liability for missed expectations, platform disruptions, or changes. By participating, you assume all risks.

12. AML Compliance

CoopC™ reserves the right to request identity verification, deny access to suspicious accounts, and report transactions consistent with applicable Anti-Money Laundering (AML) regulations.

13. System Changes

CoopC™ may modify the operation of CoopC, CoopUNO, or CoopMEGA as needed for compliance, performance, or enhancement. Members will be notified in advance of any significant change.

14. Limitation of Liability

The platform is not liable for indirect, incidental, or consequential damages. Liability is capped at the greater of: the amount you’ve gifted through the platform in the last 6 months or $100.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Barbados. All disputes shall be settled by binding arbitration under Barbados law. Class actions are not permitted.

16. Notices

Official notices will be sent via email. It is your responsibility to ensure your contact details are up to date.

17. Indemnification

You agree to indemnify CoopC and its representatives against any claims or legal actions arising from your misuse of the platform or violation of these Terms.

18. Entire Agreement

These Terms, together with the Privacy Policy and other published guidelines, represent the full agreement between you and CoopC. If any provision is unenforceable, the remainder still applies.
